than one (1)

Year, nor

more than fifteen (15) Years which shall begin on the first Day immediately

("the Rollover

The term of this Contract shall continue after the Primary Term or the Rollover

terminated as of

the end

governmental body having jurisdiction over the service rendered pursuant to the

Contract

authorizes

abandonment of such service, this Contract shall terminate on the abandonment

date permitted

by the

FERC or such other governmental body.

14.2 Any portions of this Contract necessary to correct or cash-out imbalances

under this

Contract as

required by the General Terms and Conditions of Transporter's FERC Gas Tariff

14.3 This Contract will terminate automatically in the event Shipper fails to pay all

of the amount

of any

bill for service rendered by Transporter hereunder in accord with the terms and

conditions of

Section 6

of the General Terms and Conditions of Transporter's FERC Gas Tariff.

14.4 Providing the Primary Term is one Year or more and Shipper is paying

General Terms

and

Conditions of Transporter's FERC Gas Tariff, shall apply to this Contract.
