FORM OF SERVICE AGREEMENT

FOR RATE SCHEDULE IT-1

3.2 The termination of this Service Agreement with a fixed

contract term or the provision of a termination notice

by Shipper triggers pregranted abandonment under

Section 7 of the Natural Gas Act as of the effective

date of the termination.

3.3 Any provisions of this Service Agreement necessary to

correct or cash out imbalances or to pay all applicable

charges under this Service Agreement shall survive the

other parts of this Service Agreement until such time

as such balancing or payment has been accomplished.

ARTICLE IV

RATE SCHEDULE AND GENERAL TERMS AND CONDITIONS

4.1 For the entire period when this Service Agreement is in

effect, this Service Agreement in all respects will be

subject to the applicable provisions of Rate Schedule

IT-1 and of the GT&C of Transporter's Tariff on file

with the FERC, all of which are by this reference made

a part hereof.

4.2 Shipper agrees to and shall pay Transporter all

applicable charges and fees provided for in

Transporter's Rate Schedule IT-1 and the GT&C of

Transporter's Tariff, as effective from time to time,

for service under this Service Agreement.

4.3 All of the GT&C of Transporter's Tariff and Rate

Schedule IT-1 of which this Service Agreement is a part

shall be applicable to service hereunder and shall be

made a part hereof to the extent that such terms and

conditions are not contradicted by any provision

herein. In the event of a conflict between the GT&C

and Rate Schedule IT-1, or this Service Agreement, the
