7. This Agreement constitutes the entire agreement between the parties and no modification,

waiver, representation or agreement, oral or otherwise, shall affect the subject matter

hereof unless and until such modification, waiver, representation or agreement is reduced

to writing and executed by authorized representatives of the parties.

8. THE INTERPRETATION AND PERFORMANCE OF THIS AGREEMENT SHALL BE IN ACCORDANCE WITH AND

CONTROLLED BY THE LAWS OF THE STATE OF TEXAS, WITHOUT REGARD TO DOCTRINES GOVERNING CHOICE

OF LAW.

9. When this Agreement becomes effective, it shall supersede the following agreements between

the parties hereto:
